Keep Your Business Safe from Costly Compliance Mistakes

Running a business comes with many responsibilities, and one of the most important is
staying compliant with the requirements set by the Companies Commission of Malaysia
(“SSM”).
At TCC Group, we often remind clients that compliance is not just about paperwork — it is
about protecting your business, reputation, and peace of mind.
We have seen many businesses grow successfully. At the same time, we have also seen
companies face unnecessary penalties simply because important deadlines were
overlooked.
Understanding Your Company’s Compliance Responsibilities
Under the Companies Act 2016, every company in Malaysia is required to fulfil several
annual compliance obligations. Two of the most important are:
1. Annual Return (Penyata Tahunan)
The Annual Return is a yearly update submitted to SSM containing your company’s latest
information, including:
Directors
Shareholders
Registered office address
Company particulars
Deadline:
The Annual Return must be lodged within 30 days from the anniversary date of
incorporation.
Why It Matters:
Failure to lodge Annual Returns continuously for three years or more may result in the
company being struck off by SSM.
2. Audited Financial Statements (Penyata Kewangan Beraudit)
Audited Financial Statements are official financial reports reviewed by an external auditor to
ensure compliance with legal and accounting requirements.
For private companies:
The financial statements must be circulated to shareholders within 6 months from the financial year end.
After circulation, the company has 30 days to lodge the documents with SSM.
Why Timely Filing Is Important:
Late submission may expose the company and directors to substantial penalties and
enforcement actions.
Compliance Delays Can Be Costly
Many business owners underestimate the financial impact of late compliance. Penalties
imposed for non-compliance can be significant, including:
Late Annual Return filing penalties
Late lodgement of Financial Statements
Failure to circulate financial statements within the prescribed timeline
These unnecessary costs could otherwise be invested back into business growth, operations,
or expansion.
Compliance Works Best as a Team Effort
Maintaining proper compliance is easier when your professional advisors work together
effectively.
Your Compliance Support Team
Accountant
Ensures proper bookkeeping and accurate financial records.
Auditor
Reviews and verifies the company’s financial statements in accordance with statutory
requirements.
Company Secretary
Monitors compliance deadlines, prepares statutory documents, and ensures proper
lodgement with SSM.
A proactive compliance approach helps businesses avoid last-minute stress and unnecessary
risks.
Planning to Stop Business Operations?
If your company is no longer active, it is important not to simply leave the company dormant without proper action.
Inactive companies may still be subject to ongoing compliance obligations and penalties.
Depending on your situation, proper closure methods may include:
Striking Off application
Voluntary Winding Up
Seeking professional advice early can help ensure the company is closed properly and in
accordance with the law.
